Terms of Service / Terms of Use

Last updated: May 11, 2026. These terms are written to be simple, direct, and specific to Nerdics as an AI-assisted software execution and delivery platform.

1. Acceptance

These Terms of Service and Terms of Use ("Terms") govern your access to and use of Nerdics, including our website, application, CLI, APIs, hosted services, sandbox environments, deployment tools, documentation, and related features (together, the "Service").

By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you confirm that you have authority to bind that organization, and "you" means both you and that organization.

2. What Nerdics Does

Nerdics helps users build, run, observe, verify, repair, export, and deploy software systems with AI-assisted workflows. The Service may generate code, run code in isolated environments, produce visual execution flows, suggest fixes, create deployment artifacts, and connect with third-party tools.

Nerdics is a development and delivery tool. It is not a substitute for human engineering review, security review, compliance review, legal advice, or production operations judgment.

3. Accounts and Access

You are responsible for keeping your account, credentials, API keys, tokens, repositories, cloud credentials, and deployment settings secure. You must promptly notify us if you believe your account or credentials have been compromised.

You may not share access in a way that bypasses plan limits, security controls, or billing requirements. We may suspend or restrict access if we reasonably believe your use creates risk to Nerdics, other users, third-party services, or the public.

4. Your Code, Data, and Content

You retain ownership of code, prompts, files, repositories, configurations, secrets, logs, artifacts, and other content you submit to the Service ("User Content"). You grant Nerdics a limited right to host, process, transmit, display, analyze, execute, and modify User Content only as needed to provide, secure, support, improve, and operate the Service.

You are responsible for ensuring you have the rights and permissions needed to submit User Content. Do not submit sensitive, regulated, confidential, export-controlled, or production secrets unless your plan, configuration, and internal policies allow that use.

5. AI Output and Generated Code

The Service may produce code, explanations, diagrams, deployment settings, tests, fixes, logs, and other AI-assisted output ("Output"). Output may be incomplete, incorrect, insecure, non-unique, unsuitable for your use case, or dependent on third-party models, libraries, platforms, or services.

As between you and Nerdics, you may use Output generated for you through the Service, subject to these Terms, your payment obligations, third-party rights, third-party licenses, and applicable law.

You are responsible for reviewing, testing, validating, securing, licensing, and approving Output before using, deploying, distributing, or relying on it. You are also responsible for confirming that Output complies with your business requirements, security requirements, third-party licenses, and applicable laws.

Nerdics does not guarantee that Output will be error-free, secure, production-ready, compliant, original, or fit for any particular purpose.

6. Sandboxes, Execution, and Deployment

Nerdics may run code in isolated or controlled execution environments. Isolation and automated repair are risk-reduction features, not a guarantee that code is safe, bug-free, secure, or suitable for production.

You are responsible for reviewing commands, dependencies, environment variables, generated migrations, infrastructure changes, cloud resources, deployment targets, monitoring settings, and data access before execution or deployment.

You must not use the Service to run malware, exploit systems, attack networks, mine cryptocurrency without authorization, bypass access controls, overload infrastructure, scrape unlawfully, or violate third-party terms.

7. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to create, test, deploy, or assist systems that are illegal, harmful, deceptive, abusive, infringing, privacy-invasive, or designed to cause unauthorized access, disruption, fraud, or security compromise.

You may not use the Service for emergency response, medical diagnosis or treatment, weapons, critical infrastructure, life-safety systems, or other high-risk uses where failure could lead to death, personal injury, severe property damage, or major environmental harm, unless Nerdics has expressly agreed in writing.

You may not reverse engineer the Service, interfere with its operation, probe or bypass security limits, resell access without permission, misrepresent Output as guaranteed by Nerdics, or use the Service in a way that materially harms Nerdics or others.

8. Third-Party Services

The Service may integrate with third-party AI providers, code hosts, package registries, cloud platforms, databases, payment processors, observability tools, and deployment providers. Third-party services are governed by their own terms, policies, fees, limits, and availability.

Nerdics is not responsible for third-party services, third-party output, third-party downtime, third-party security incidents, package vulnerabilities, license restrictions, model behavior, or changes made by third-party providers.

9. Subscriptions, Trials, and Refunds

Some features may require a paid subscription, usage-based fees, or an enterprise agreement. Plan limits, execution limits, features, and prices may change as the Service evolves.

Unless a separate written agreement says otherwise, paid plans are billed in advance and renew automatically until canceled. Refunds are handled according to the refund policy shown on the pricing page or in your order form. If no separate refund term applies, Nerdics may provide a 30-day money-back guarantee for paid plans.

10. Beta and Early Access Features

Nerdics may offer beta, preview, experimental, or early access features. These features may be changed, limited, suspended, discontinued, or made paid at any time. They may be less reliable than general availability features.

You should not rely on beta or early access features for critical production workloads unless you have appropriate backup, rollback, monitoring, and human review processes.

11. Service Availability and Changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted availability, error-free operation, data retention, deployment success, execution success, or compatibility with every framework, dependency, provider, repository, or cloud environment.

We may modify, suspend, or discontinue parts of the Service, impose limits, update security controls, or remove content when needed to operate the Service, comply with law, protect users, or manage risk.

12. Disclaimers

The Service and all Output are provided "as is" and "as available." To the maximum extent permitted by law, Nerdics disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security, availability, and uninterrupted operation.

You are solely responsible for production decisions, deployment decisions, security decisions, compliance decisions, business decisions, and reliance on any code, Output, logs, suggestions, or automation produced through the Service.

13. Limitation of Liability

To the maximum extent permitted by law, Nerdics will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, security incidents, cloud costs, third-party claims, deployment failures, or loss of goodwill.

To the maximum extent permitted by law, the total liability of Nerdics for all claims related to the Service will not exceed the greater of USD $100 or the amount you paid to Nerdics for the Service during the three months before the event giving rise to the claim.

14. Indemnity

You agree to defend, indemnify, and hold harmless Nerdics from claims, damages, losses, liabilities, costs, and expenses arising from your User Content, your Output, your deployments, your use of the Service, your violation of these Terms, your violation of law, or your infringement or misuse of third-party rights.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create security or legal risk, fail to pay amounts owed, or use the Service in a way that harms Nerdics, other users, or third parties.

After termination, sections that by their nature should survive will continue to apply, including ownership, payment obligations, disclaimers, limitation of liability, indemnity, and dispute-related terms.

16. Governing Terms

If you have a separate signed agreement, order form, data processing agreement, or enterprise contract with Nerdics, that agreement controls where it conflicts with these Terms.

These Terms are governed by the laws of the jurisdiction where the Nerdics contracting entity is incorporated, unless applicable law requires otherwise. Any dispute must be resolved in the courts or dispute forum specified by that jurisdiction or by your separate written agreement.

17. Updates and Contact

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of the Service after changes take effect means you accept the updated Terms.
